User Agreement

Article 1 (Purpose)
The purpose of these Terms of Service (hereinafter referred to as the "Terms") is to prescribe the rights, obligations, and responsibilities of the internet site "Samjin Amook Official Mall" (hereinafter referred to as the "Mall") operated by SAMJIN FOOD Co., Ltd. (an e-commerce business operator, hereinafter referred to as the "Company") and the users in using the e-commerce-related services (hereinafter referred to as the "Service") provided by the Mall.
· These Terms shall apply mutatis mutandis to e-commerce conducted via PC communication, smartphone applications, wireless devices, etc., unless contrary to the nature thereof.

Article 2 (Definitions)
· "Mall" means a virtual business place established by the Company using information and communication facilities such as computers to trade goods or services (hereinafter referred to as "Goods or Services") to users, and is also used in the sense of a business operator operating a cyber mall.
· "User" means a member or a non-member who accesses the "Mall" and receives services provided by the "Mall" in accordance with these Terms.
· "Member" means a person who has registered as a member by providing personal information to the "Mall", is continuously provided with information of the "Mall", and can continuously use the services provided by the "Mall".
· "Non-Member" means a person who uses the services provided by the "Mall" without registering as a member.

Article 3 (Display, Explanation, and Revision of Terms, etc.)
· The "Mall" shall post the contents of these Terms, trade name, name of representative, business address (including the address where consumer complaints can be handled), telephone number, fax number, email address, business registration number, mail-order business reporting number, and personal information manager, etc., on the initial service screen (front page) of the "Mall" so that users can easily recognize them. However, the contents of the Terms may be made available to users through a connected screen.
· Before the user agrees to the Terms, the "Mall" must provide a separate connected screen or pop-up screen, etc., to obtain the user's confirmation so that the user can understand important contents set forth in the Terms, such as withdrawal of subscription, delivery responsibility, refund conditions, etc.
· The "Mall" may revise these Terms to the extent that it does not violate relevant laws, such as the Act on the Consumer Protection in Electronic Commerce, Act on the Regulation of Terms and Conditions, Framework Act on Electronic Documents and Transactions, Digital Signature Act, Act on Promotion of Information and Communications Network Utilization and Information Protection, Act on Door-to-Door Sales, and Framework Act on Consumers.
· If the "Mall" revises the Terms, it shall specify the effective date and reason for revision and announce them on the initial screen of the Mall together with the current Terms from 7 days prior to the effective date to the day before the effective date. However, if the Terms are changed disadvantageously to the user, a grace period of at least 30 days shall be given prior to the effective date. In this case, the "Mall" shall clearly compare the pre-revision and post-revision content for the user's easy understanding.
· If the "Mall" revises the Terms, the revised Terms shall apply only to contracts concluded after the effective date thereof, and the Terms before the revision shall remain applicable to contracts already concluded prior to that date. However, if a user who has already concluded a contract transmits their intent to be subject to the revised Terms to the "Mall" within the notice period under Paragraph 3 and obtains the consent of the "Mall", the revised Terms shall apply.
· Matters not specified in these Terms and the interpretation of these Terms shall be governed by the Act on the Consumer Protection in Electronic Commerce, Act on the Regulation of Terms and Conditions, Consumer Protection Guidelines in Electronic Commerce, etc. set by the Fair Trade Commission, and other relevant laws or commercial customs.

Article 4 (Provision and Modification of Services)
· The "Mall" performs the following duties:
1. Provision of information on Goods or Services and conclusion of purchase contracts.
2. Delivery of Goods or Services for which a purchase contract has been concluded.
3. Other duties designated by the "Mall".
· In the event of out-of-stock items or changes in technical specifications of Goods or Services, the "Mall" may modify the contents of Goods or Services to be provided under future contracts. In such cases, the modified contents and delivery dates shall be specified and immediately announced at the place where the current Goods or Services are posted.
· If the "Mall" modifies the content of the service contracted with a user due to reasons such as out-of-stock items or changes in technical specifications, it shall immediately notify the user at a reachable address.
· In the case of the preceding paragraph, the "Mall" shall compensate the user for any damages incurred thereby. However, this shall not apply if the "Mall" proves that there was no intent or negligence on its part.

Article 5 (Suspension of Service)
· The "Mall" may temporarily suspend the provision of services in the event of maintenance, inspection, replacement, failure of information and communication facilities such as computers, or interruption of communication.
· The "Mall" shall compensate users or third parties for damages caused by the temporary suspension of service due to the reasons stated in Paragraph 1. However, this shall not apply if the "Mall" proves that there was no intent or negligence.
· If the "Mall" becomes unable to provide services due to conversion of business items, abandonment of business, integration between enterprises, etc., it shall notify users in the manner prescribed in Article 8 and compensate consumers according to the conditions originally offered by the "Mall". However, if the "Mall" has not notified compensation standards, etc., it shall pay users' mileage or reward points in cash or goods equivalent to the currency value used in the "Mall".

Article 6 (Member Registration)
· The user applies for membership by entering user information according to the registration form set by the "Mall" and expressing their intention to agree to these Terms.
· The "Mall" shall register as a member any user who applies for membership as described in Paragraph 1, unless they fall under any of the following categories:
1. If the applicant has previously lost membership pursuant to Article 7, Paragraph 3 of these Terms, except where 3 years have passed since the loss of membership under Article 7, Paragraph 3 and approval for re-registration has been obtained from the "Mall".
2. If there are false statements, omissions, or typos in the registration details.
3. If registering as a member is deemed to cause significant technical impediment to the "Mall".
· The time of establishment of the membership contract shall be the moment when the "Mall"'s acceptance reaches the member.
· If there is any change in the registered matters pursuant to Article 19, Paragraph 1, the member shall immediately notify the "Mall" of such changes by email or other methods.

Article 7 (Membership Withdrawal and Loss of Eligibility, etc.)
· A member may request withdrawal from the "Mall" at any time, and the "Mall" shall process the withdrawal immediately.
· If a member falls under any of the following reasons, the "Mall" may restrict or suspend membership eligibility:
1. Registering false information upon application.
2. Failing to pay debts borne by the member in connection with the use of the "Mall" or the price of Goods purchased using the "Mall" on the due date.
3. Threatening the order of e-commerce by interfering with another person's use of the "Mall" or stealing such information.
4. Performing acts prohibited by law or these Terms or contrary to public order and good morals using the "Mall".
· If the same action is repeated twice or more or the cause is not corrected within 30 days after the "Mall" restricts or suspends membership, the "Mall" may revoke membership eligibility.
· If the "Mall" revokes membership eligibility, the membership registration shall be canceled. In this case, the "Mall" shall notify the member and grant an opportunity for explanation by setting a period of at least 30 days prior to cancellation.

Article 8 (Notice to Members)
· When the "Mall" notifies a member, it may do so via the email address designated by the member in prior agreement with the "Mall".
· In the case of notice to an unspecified number of members, the "Mall" may substitute individual notices by posting on the "Mall" notice board for at least one week. However, individual notice shall be given regarding matters that have a material impact on the member's own transaction.

Article 9 (Purchase Application)
· A user of the "Mall" shall apply for a purchase on the "Mall" through the following or similar methods, and the "Mall" must provide the following information in an easy-to-understand manner when the user applies for a purchase:
1. Search and selection of Goods or Services.
2. Input of name, address, telephone number, email address (or mobile phone number), etc.
3. Confirmation of the terms, services with restricted right of withdrawal, costs related to shipping fees, installation fees, etc.
4. Indication agreeing to these Terms and confirming or rejecting the matters in item 3 above (e.g., mouse click).
5. Purchase application for Goods, etc., and confirmation thereof or agreement to the confirmation of the "Mall".
6. Selection of payment method.
· If the "Mall" needs to provide or entrust a buyer's personal information to a third party, it must obtain the buyer's consent at the time of the actual purchase application, and comprehensive consent shall not be obtained in advance upon membership registration. In this case, the "Mall" must explicitly specify to the buyer the personal information items provided, the recipient, the recipient's purpose of use, and the retention/use period. However, in cases where applicable laws state otherwise, such as outsourcing personal information processing pursuant to Article 25, Paragraph 1 of the Act on Promotion of Information and Communications Network Utilization and Information Protection, those laws shall apply.

Article 10 (Establishment of Contract)
· The "Mall" may not accept a purchase application as specified in Article 9 if it falls under any of the following items. However, when entering into a contract with a minor, it must notify that the minor or their legal guardian may cancel the contract if consent from the legal guardian is not obtained:
1. If there are false statements, omissions, or typos in the application details.
2. If a minor purchases goods and services prohibited by the Juvenile Protection Act, such as tobacco or alcohol.
3. If accepting the purchase application is deemed to cause significant technical impediment to the "Mall".
· A contract shall be deemed established when the acceptance of the "Mall" reaches the user in the form of a receipt confirmation notice under Article 14, Paragraph 1.
· The "Mall"'s declaration of acceptance shall include confirmation of the user's purchase application, availability of sales, information regarding correction/cancellation of the purchase application, etc.

Article 11 (Payment Method)
· Payment for Goods or Services purchased at the "Mall" may be made using any of the following available methods. However, the "Mall" shall not collect any additional fees under any title for the user's payment method:
1. Various account transfers such as phone banking, internet banking, mail banking, etc.
2. Various card payments such as prepaid cards, debit cards, credit cards, etc.
3. Online wire transfer without a bankbook.
4. Payment by electronic money.
5. Payment upon receipt.
6. Payment using points issued by the "Mall" such as mileage.
7. Payment by gift certificates contracted with or recognized by the "Mall".
8. Payment by other electronic payment methods, etc.

Article 12 (Reward Points)
· The "Mall" may grant a certain amount of reward points to members based on purchasing activities, event participation, etc.
· Members may use reward points as a payment method when purchasing products on the "Mall", and the "Mall" shall separately post or notify details regarding earning criteria, usage methods, validity periods, and restrictions on reward points on the site. Matters regarding usage conditions may vary depending on the "Mall"'s policy.
· Reward points cannot be refunded for cash.
· Members cannot transfer reward points to a third party or another account, nor trade them for value or convert them to cash.
· If a member acquires reward points through unauthorized methods not approved by the "Mall" or through false information, or uses them for improper purposes, the "Mall" may restrict point usage, cancel purchases using reward points, or suspend membership status.
· Unused reward points shall immediately expire upon membership withdrawal, and expired points will not be restored even if the member re-registers.

Article 13 (Discount Coupons)
· Discount coupons are issued to members free of charge, and the "Mall" may set eligible products, usage methods, validity periods, and discount amounts for coupons applicable during purchase. Types and details of coupons may vary depending on the "Mall"'s policy.
· The "Mall" shall separately display or notify details regarding eligible products, usage methods, validity periods, and discount amounts on the site.
· Discount coupons cannot be refunded for cash and shall expire when the validity period ends, when a purchase is canceled, or when the user agreement terminates.
· Members cannot transfer discount coupons to a third party or another account, nor trade them for value or convert them to cash.
· If a member acquires discount coupons through unauthorized methods or uses them for improper purposes, the "Mall" may restrict coupon usage, cancel purchase applications made using coupons, or suspend membership.
· Unused discount coupons issued by the "Mall" shall immediately expire upon membership withdrawal and will not be restored upon re-registration.

Article 14 (Receipt Confirmation Notice, Change and Cancellation of Purchase Application)
· When a user makes a purchase application, the "Mall" shall send a receipt confirmation notice to the user.
· Upon receiving the receipt confirmation notice, the user may immediately request a change or cancellation of the purchase application if there is any discrepancy in intent, and the "Mall" must process the request without delay prior to dispatch. However, if payment has already been made, the provisions regarding withdrawal of subscription in Article 17 shall apply.

Article 15 (Supply of Goods, etc.)
· Unless otherwise agreed regarding the timing of supply of Goods, etc., the "Mall" shall take necessary measures such as custom order processing, packaging, etc., so that Goods can be delivered within 7 days from the date the user placed the order. However, if the "Mall" has already received all or part of the payment, it shall take measures within 2 business days from the receipt date. The "Mall" shall take appropriate measures so that users can check the supply procedure and progress of Goods.
· The "Mall" specifies delivery methods, entity responsible for shipping costs per method, and shipping periods per method for Goods purchased by users. If the "Mall" exceeds the agreed delivery period, it shall compensate the user for damages caused thereby, unless the "Mall" proves that there was no intent or negligence.

Article 16 (Refunds)
· If Goods requested by a user cannot be delivered or provided due to reasons such as being out of stock, the "Mall" shall notify the user of the reason without delay, and if payment was received in advance, refund the payment or take necessary measures for refund within 3 business days from the payment receipt date.

Article 17 (Withdrawal of Subscription, etc.)
· A user who has entered into a contract with the "Mall" regarding the purchase of Goods may withdraw the subscription within 7 days from the date of receiving written agreement details pursuant to Article 13, Paragraph 2 of the Act on Consumer Protection in Electronic Commerce (or from the date Goods are supplied or supply begins if supply occurs later than receipt of written agreement). However, if otherwise provided in the Act on Consumer Protection in Electronic Commerce regarding withdrawal of subscription, the provisions of said Act shall apply.
· A user cannot return or exchange Goods received in any of the following cases:
1. If Goods are lost or damaged due to reasons attributable to the user (however, subscription may be withdrawn if packaging was damaged solely to inspect contents).
2. If the value of Goods has significantly decreased due to use or partial consumption by the user.
3. If the value of Goods has significantly decreased over time to the extent that resale is difficult.
4. If packaging of original replicable Goods with equivalent performance is damaged.
· In cases under Items 2 through 4 of Paragraph 2, if the "Mall" did not specify in advance the restriction on withdrawal in an easily noticeable place for consumers or did not provide test products, the user's withdrawal of subscription shall not be restricted.
· Notwithstanding Paragraphs 1 and 2, if the contents of Goods are different from display or advertisement contents or performed differently from contract terms, the user may withdraw subscription within 3 months from the date of receiving Goods, or within 30 days from the date they knew or could have known such fact.

Article 18 (Effects of Subscription Withdrawal, etc.)
· If the "Mall" receives returned Goods from a user, it shall refund the payment already received within 3 business days. In this case, if the "Mall" delays refunding Goods to the user, it shall pay interest for delay calculated by multiplying the delay interest rate specified in Article 21-2 of the Enforcement Decree of the Act on Consumer Protection in Electronic Commerce.
· In refunding the payment, if the user paid for Goods via credit card or electronic money, the "Mall" shall request the business operator providing said payment method to suspend or cancel the claim without delay.
· In case of subscription withdrawal, necessary costs for returning Goods supplied shall be borne by the user. The "Mall" shall not claim liquidated damages or compensation for damages from the user due to withdrawal. However, if subscription is withdrawn because Goods contents differ from displayed/advertised contents or contract terms, necessary return costs shall be borne by the "Mall".
· If the user paid for shipping when receiving Goods, the "Mall" shall clearly display who bears shipping costs upon withdrawal for easy understanding by the user.

Article 19 (Personal Information Protection)
· When collecting user information, the "Mall" collects minimum information necessary to execute the purchase contract. The following items are mandatory, while others are optional:
1. Full Name
2. Address
3. Telephone Number
4. Desired ID (for Members)
5. Password (for Members)
6. Email address (or mobile phone number)
· When the "Mall" collects personal information capable of personally identifying a user, consent must be obtained from the user.
· Provided personal information shall not be used for purposes other than intended or provided to a third party without the consent of the user, and all responsibility rests with the "Mall", except in the following cases:
1. Providing minimum user information (name, address, phone number) necessary for delivery to the delivery company.
2. Providing information in a form that cannot identify specific individuals for statistical compilation, academic research, or market research.
3. Necessary for settlement of accounts resulting from transactions of Goods.
4. Necessary for identity verification to prevent fraud.
5. In inevitable cases required by law or statutory provisions.
· When the "Mall" is required to obtain user consent under Paragraphs 2 and 3, details specified in Article 22, Paragraph 2 of the Act on Promotion of Information and Communications Network Utilization and Information Protection (identity of personal information manager, purpose of collection/use, matters related to third-party information provision, etc.) must be specified or notified in advance, and the user may withdraw consent at any time.
· Users may request inspection and correction of errors in their personal information held by the "Mall" at any time, and the "Mall" is obligated to take necessary measures without delay. If a user requests error correction, the "Mall" shall not use the personal information until the error is corrected.
· To protect personal information, the "Mall" shall limit and minimize the number of managers and assume all liability for damages incurred by users due to loss, theft, leakage, or alteration of user personal information, including credit cards and bank accounts.
· The "Mall" or a third party receiving personal information from it shall destroy personal information without delay once the collection or provision purpose has been achieved.

Article 20 (Obligations of the "Mall")
· The "Mall" shall not engage in acts prohibited by laws or these Terms or contrary to public order and good morals, and shall do its best to provide Goods and Services continuously and stably in accordance with these Terms.
· The "Mall" must equip a security system to protect personal information (including credit information) so that users can safely use internet services.
· If a user suffers damage due to unfair display/advertising acts under Article 3 of the Fair Labeling and Advertising Act regarding products or services, the "Mall" shall be liable for compensation.
· The "Mall" shall not send commercial advertising emails for profit that users do not want.

Article 21 (Obligations regarding Member ID and Password)
· Except in cases under Article 19, the responsibility for managing ID and password rests with the member.
· Members shall not allow third parties to use their ID and password.
· If a member recognizes that their ID and password have been stolen or used by a third party, they must notify the "Mall" immediately and follow instructions if provided by the "Mall".

Article 22 (Obligations of Users)
Users shall not perform any of the following acts:
· Registration of false information upon application or modification.
· Stealing information of others.
· Modification of information posted on the "Mall".
· Transmission or posting of information (such as computer programs) other than that specified by the "Mall".
· Infringement on intellectual property rights such as copyrights of the "Mall" or third parties.
· Acts that damage the reputation or disrupt the business of the "Mall" or third parties.
· Disclosing or posting obscene or violent messages, images, audio, or other information contrary to public order and good morals on the Mall.

Article 23 (Relationship Between Linking "Mall" and Linked "Mall")
· When a parent "Mall" and a child "Mall" are connected via hyperlink (e.g., hyperlinks including text, images, moving images, etc.), the former is called a Linking "Mall" (website) and the latter a Linked "Mall" (website).
· The Linking "Mall" shall not be held liable for guarantees regarding transactions conducted between users and the Linked "Mall" independently providing Goods, provided that such non-guarantee statement is specified on the initial screen of the Linking "Mall" or in a pop-up screen at the time of connection.

Article 24 (Attribution of Copyright and Restrictions on Use)
· Copyrights and other intellectual property rights for works created by the "Mall" belong to the "Mall".
· Users shall not use information obtained through the "Mall" in which intellectual property rights belong to the "Mall" for commercial purposes by copying, transmitting, publishing, distributing, broadcasting, or other methods, nor allow third parties to use it, without prior consent of the "Mall".
· If the "Mall" uses copyrights belonging to a user pursuant to agreement, it must notify the user concerned.

Article 25 (Dispute Resolution)
· The "Mall" establishes and operates a damage compensation processing organization to reflect legitimate opinions or complaints raised by users and process compensation for damages.
· The "Mall" handles complaints and opinions submitted by users on a priority basis. However, if prompt processing is difficult, the reasons and processing schedule shall be immediately notified to the user.
· In connection with e-commerce disputes arising between the "Mall" and users, if a user applies for damage relief, the matter may be subject to mediation by a dispute mediation agency requested by the Fair Trade Commission or a provincial governor.

Article 26 (Jurisdiction and Governing Law)
· Lawsuits concerning e-commerce disputes between the "Mall" and users shall be under the exclusive jurisdiction of the local district court having jurisdiction over the user's address at the time of filing (or residence if there is no address). However, if the address or residence of the user is unclear at the time of filing, or in the case of a foreign resident, lawsuits shall be submitted to a competent court under the Civil Procedure Act.
· Korean law shall apply to e-commerce lawsuits filed between the "Mall" and users.

Article 27 (Points and Coupons)
· The Company may grant certain points to members when they purchase products, write product reviews, or confirm product delivery within the shopping mall. However, in case of cancellation or return after product purchase, points granted by the Company at the time of purchase shall be recovered.
· The validity period and usage methods of points shall follow Company policy.
· The Company may issue coupons allowing members to receive discounts of a specific amount or rate. Expiration, content, issuance eligibility, and usage methods of coupons may change according to Company policy.
· Coupons may be used within the pre-stated validity period, and will expire if the validity period elapses or membership status is lost.
· The Company notifies members regarding the following matters concerning points and coupons:
1. Provision of registration benefits
2. Provision of thank-you coupons to purchasing customers
3. Granting/issuance of points or coupons, validity period notices, expiration, and forfeiture
4. Monthly coupons and benefits provided per membership tier
5. Other matters regarding granting, use, expiration, and forfeiture of points and coupons

Addendum
· These Terms of Service shall enter into force on September, 2018.
